Navera GmbH
Wöhlertstraße 12–13
10115 Berlin, Germany

§ 1 Scope

These Terms and Conditions govern the use of the Navera platform, through which users can store, manage, and provide information and documents related to their financing project for consultation purposes.

The following Terms and Conditions apply exclusively. Deviating or conflicting terms and conditions of users are not recognized unless we have expressly agreed to their validity.

§ 2 Contracting Parties

The contracting parties are the users of the Navera platform and Navera GmbH, Wöhlertstraße 12–13, 10115 Berlin, Germany.

§ 3 Usage Requirements

(1) The use of the Navera platform for registration is available exclusively to persons of legal age with habitual residence in Germany.

(2) Registration is completed by providing an email address. Users receive a confirmation code via email to finalize registration.

(3) Users are obligated to provide truthful, current, complete, and legally permissible information during registration and throughout the entire period of use.

(4) Users are obligated to keep their personal access credentials secret and not share them with third parties. If there are indications of misuse of access credentials, we reserve the right to block the affected user account.

(5) It is prohibited to register multiple times under different email addresses. In this case, we are entitled to delete the affected user accounts and exclude the users from our service.

(6) User accounts are not transferable. Access credentials may only be used by the person to whom they were assigned by us.

(7) Users are obligated to inform us immediately if they discover that their account or email address has been misused or compromised. We assume no liability for unauthorized access by third parties through the user's technical devices.

(8) The provision of the Navera platform is free of charge for users. When using a mobile device, different conditions from the mobile provider may apply.

§ 4 Services of the Navera Platform

(1) Through the Navera platform, users can:

  • Enter personal information and financial data
  • Upload and manage documents
  • Use mortgage calculators
  • Create and compare different financing scenarios
  • Track the status of their financing inquiry
  • Book consultation appointments
  • Provide information and documents for consultation

(2) The use of all platform functions may require additional technical equipment (hardware and software) on the devices used.

(3) We are entitled at any time to make changes, additions, or restrictions to the platform and its associated functions. Where possible and reasonable, we will inform users about planned significant changes in advance.

(4) We strive to provide the platform with the greatest possible care. However, we do not guarantee constant and uninterrupted availability. In particular, availability may be affected by maintenance, development, disruption, or interruption of technical infrastructure (especially in cases of force majeure).

§ 5 No Automatic Brokerage Contract

(1) Registration and use of the Navera platform does not automatically establish a mortgage brokerage contract.

(2) The platform and its associated functions (including calculators and information) do not constitute individual advice, a binding offer, or a mortgage brokerage contract. They serve for users' independent information and preparation.

(3) A mortgage brokerage contract is established when users submit a financing application through the platform following a consultation with one of our advisors. The details are governed by our consumer information for mortgage financing.

(4) Information entered and documents uploaded on the platform are available to us for processing and consultation purposes.

§ 6 Usage Rights and Intellectual Property

(1) We grant users a non-exclusive and non-transferable right to use the information and documents provided on the platform for personal, non-commercial purposes.

(2) The information, software, and documents on the Navera platform are protected by copyright laws as well as international copyright treaties and other intellectual property laws. Users will respect these rights.

(3) Information, documents, trademarks, and other content on the platform may not be modified, copied, reproduced, sold, rented, used, supplemented, or otherwise exploited without prior written permission.

(4) By uploading their own content to the platform, users grant us the usage rights to this content necessary for mortgage consultation.

(5) All rights to the content, its arrangement or structuring of elements on the platform, as well as content created by us, remain with us.

§ 7 User Obligations

(1) Users undertake not to upload or distribute any content, files, documents, or other material on the platform that:

  • Violates the rights of third parties
  • Is unlawful, immoral, obscene, threatening, insulting, or otherwise objectionable
  • Violates general codes of conduct on the internet
  • Contains viruses, trojans, worms, or other harmful files
  • Contains advertising or commercial content
  • Constitutes a criminal offense or administrative violation
  • Violates copyright, trademark law, competition law, or any other protective right

(2) In case of violation of these obligations, we are entitled to modify or delete the relevant content and block user access.

(3) We have the right to delete content if we suspect it may contain violations of law.

(4) In case of violation, users are obligated to compensate us for damages incurred and to indemnify us against third-party claims.

(5) Users are obligated to support us in defending against third-party claims and to bear the costs of appropriate legal defense.

§ 8 Contract Duration and Termination

(1) The contractual relationship between us and the users is concluded for an indefinite period and may be terminated at any time by either party without notice.

(2) Termination may be made by written declaration via email to [email protected] or in writing to the address specified in § 2.

(3) The user account will be deleted immediately upon receipt of termination.

(4) The right to extraordinary termination for good cause remains unaffected. Good cause exists in particular if:

  • Deliberately false or incomplete information was provided during registration
  • The user account has been inactive for an extended period (more than 24 months)
  • The user account is used abusively
  • There is a violation of third-party rights
  • Users violate applicable law or these Terms and Conditions

(5) Users are obligated to save their data before termination. We do not retain user data stored on the platform after termination unless required by legal retention obligations.

§ 9 Liability

(1) We are fully liable for damages resulting from injury to life, body, or health, as well as for damages based on intentional or grossly negligent breach of duty or fraud by us, our legal representatives, or vicarious agents. We are also fully liable for claims under product liability law and when assuming a guarantee.

(2) Otherwise, our liability for slight negligence is excluded unless it concerns the breach of an essential contractual obligation, the fulfillment of which enables the proper performance of the contract in the first place and on whose compliance users may regularly rely.

(3) In case of breach of such an essential contractual obligation, our liability is limited in amount to the typically foreseeable damage.

(4) We are not liable in particular for:

  • Platform failures due to technical or other problems beyond our control (e.g., force majeure, fault of third parties)
  • Damages resulting from platform unavailability
  • Loss of data and information on the platform. We do not guarantee reconstruction of this data. Users are obligated to save their uploaded data independently.

(5) The platform may contain hyperlinks to third-party websites. We assume no responsibility for the content of these websites nor do we adopt these contents as our own. Use is at the user's own risk.

(6) The provisions of this section also apply for the benefit of our employees, legal representatives, and vicarious agents.

§ 11 Changes to Terms and Conditions

(1) We reserve the right to amend and adapt these Terms and Conditions for the future.

(2) If we intend to change the Terms and Conditions, we will notify users in text form (e.g., by email) at least two weeks before the proposed effective date.

(3) If users do not object in writing within two weeks of receipt of this notification, their consent is deemed given and the change will be made on the proposed effective date. We will expressly point this out in the notification.

(4) The current version of the Terms and Conditions is available on our website at https://navera.de/en/agb.

§ 12 Final Provisions

(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law only applies insofar as the protection granted by mandatory provisions of the law of the country in which the consumer has their habitual residence is not withdrawn.

(2) Place of performance and, for merchants, place of jurisdiction for all disputes arising from this contract is Berlin.

(3) Should individual provisions be or become wholly or partially invalid or unenforceable, the validity of the remaining provisions shall not be affected.

(4) We are neither willing nor obligated to participate in dispute resolution proceedings before a consumer arbitration board.
